Berke joined MidEuropa in 2013. He is responsible for deal sourcing, executing and monitoring of investments. Berke has been involved in transactions including Cargus, Hortex, Profi, Regina Maria, M+ Group, Zabka and Norican Group.

“Este o preocupare veche (ESG – n.r.) de-a noastra, doar ca anul asta am reusit sa o formalizam. Cred ca anul asta si la ce sa ne asteptam anul urmator, asta este tot ce vom auzi in relatia cu finantatorii traditionali, ma refer in special la IFI (institutiile financiare internationale – n.r.) si de anul viitor o sa auzim cu totii, cei care luam finantari bancare, cred ca o sa avem intrebari un pic indiscrete din partea bancilor care ne finanteaza“, a declarat Marius Stefan, CEO si fondator Autonom, la MIRSANU DEALMAKERS SUMMIT 2021, a patra editie anuala a evenimentului organizat de catre jurnalul de tranzactii MIRSANU.RO.

“Concret, ce am facut noi si ce recomand oricarei companii antreprenoriale romanesti, discutia se extinde si catre companii multinationale, am creat un raport de sustenabilitate. Am folosit un framework, un mod de lucru agreat international si am folosit consultanti. Am lucrat cu cei de la Denkstatt Romania, dupa un proces de selectie si am luat-o pe fiecare arie de interes, am luat-o pe cele 3 zone principale. Am pornit de foarte sus, de la principiile de dezvoltare ONU, ne-am uitat la taxonomia UE, a fost un efort de aproape jumatate de an, am publicat acest raport si apoi, mai mult decat atat, ne-am ales un auditor, care tehnic se cheama un second party opinion. Si am ales, probabil, firma cea mai recunoscuta din lume, se numeste Sustainalytics. Ei se uita pe ce am facut noi sa vada daca am stabilit obiectivele care trebuie, pe ESG sunt cumva 2 calificative – vor sa vada intai cat de puternic este indicatorul pe care l-ai ales in obiectivele de sustenabilitate si am luat acolo calificativ very strong si obiectivul pe care l-am ales este cel mai strict standard de poluare WLTP, implementat de Comisia Europeana pentru toti producatorii auto din Europa. Sustainalytics a zis ca am ales indicatorul potrivit, apoi s-a uitat sa vada cat de ambitioase sunt obiectivele noastre si acolo am luat calificativul ambitious. Noi ne-am propus in 5 ani sa reducem cu 25% emisiile medii pe kilometru, dupa aceasta metodologie care este extrem de stricta de la Uniunea Europeana si pana in 2030 sa reducem cu 51%. Si nu este suficient doar sa ne uitam ca piata merge incolo, ma refer la tranzitia de la autovehicule cu combustibili fosili catre hibrid si electric, trebuie si noi sa facem eforturi sa ne convingem clientii nostri“, explica antreprenorul.

“In terminologia ESG, exista scope 1, scope 2 si scope 3 – cele trei directii principale cand analizezi o companie, una se uita la ce faci tu in cadrul companiei tale – eforturi in zona ESG, apoi se uita la consumul de electricitate cat folosesti din surse sustenabile si daca da, ce sa imbunatatesti la ce consum ai. Dar ce am descoperit noi este ca cea mai mare parte a impactului pe care il avem in mediu, in jurul nostru este pe scope 3, care se refera la impactul pe care il au clientii, cum se folosesc ei de produsele si serviciile tale. Peste 99% din impactul pe carbon in jurul nostru era scope 3. Am fi putut alege calea cea simpla, sa nu luam in calcul scope 3, chiar daca va fi mai complicat sa ne convingem clientii ca ce fac cu activele noastre, cu masinile pe care le punem pe strada, sa aiba un impact mai mic“, a mai spus Marius Stefan la evenimentul MIRSANU.RO din 10 decembrie 2021.

“A fost incredibil de bine primit de piata ce am facut. Am avut roadshow acum 3 saptamani (in luna noiembrie – n.r.) si a participat toata piata – fonduri, IFI, societati de asigurari, banci, care ulterior au investit pe book-ul propriu si feedback-ul a fost unanim pe modul cum am pregatit aceasta tranzactie ca la carte, a fost o tranzactie model pentru ce se poate face si ce se va face anul viitor“, a adaugat acesta.

“Niciun investitor care se uita la o tranzactie de genul asta nu va investi in tine doar pentru ca proiectul tau este in zona ESG. Trebuie sa bifezi toate celelalte lucruri. Trebuie sa fie o companie solida, financiarele sa arate bine, perspectivele de crestere sa fie acolo. Intre 2 companii care sunt atractive de investitii, cea care are un unghi si o preocupare pentru ESG clar va avea un avantaj si prin ce se traduce avantajul asta, cel mai probabil printr-un cost de finantare un pic mai mic, undeva la 15 -25 puncte de baza (0,15-0,25%) avantaj pe finantarile ESG versus finantarile normale. Dar e vorba de mai mult de atat. Este beneficiul de imagine, absolut toate fondurile trebuie sa raporteze catre investitorii lor ce fac in zona ESG si au un assessment intern (evaluare interna – n.r.) cat de prietenos este cu mediul fiecare investitor in parte“, puncteaza Marius Stefan.

“Noutatea absoluta este ca anul acesta este primul an in care BCE si EBA au anuntat ca toate bancile considerate sistemice din UE – anul acesta va trebui sa faceti raportari pe ESG, si asta inseamna sa vada ce fac clientii lor pe ESG, si mai ales ce se intampla cu creditele noi acordate, si in al doilea rand, 2021 e primul an in care bonusul CEO al primelor 30 de banci din UE este legat de indeplinirea obiectivelor ESG“, spune antreprenorul de la Autonom.

“E primul an in care antreprenorii si companiile au inceput sa primeasca intrebari de la banci ce fel de activitati aveti in zona asta (esg- n,r.). La ce se uita investitorii? Vor sa vada nu doar un plan care poate sa fie bine scris, vor sa vada o structura foarte clara, recomandarea este sa foloseasca structura deja acceptata la nivel international, foarte folositoare sunt standardele ICMA (The International Capital Market Association – n.r.) – institututul european in zona instrumentelor financiare. Si in afara de asta, ei se asteapta ca acest efort facut de o companie sa fie auditat de catre un second party sau third party. Cred ca sunt conditii obligatorii pentru cine vrea sa atraga investitori profesionisti. Cred ca vor mai fi niste ani in care va exista toleranta pentru inceput“, afirma Marius Stefan.

“Am emis instrumente care sunt considerate in categoria verde, instrumente care pe piata globala au fost inventate acum 2 ani si anume SLB, Sustenability linked bonds – obligatiuni cu obiective corelate de sustenabilitate. Bondurile verzi sunt pe piata globala din 2007, deja de 14 ani se emit si se tranzactioneaza. Aceste instrumente mi se par mult mai interesante pentru majoritatea companiilor.  De ce?! Pentru ca nu mai leaga use of funds, adica destinatia banilor atrasi. Conteaza care sunt obiectivele tale, ale companiei si daca nu iti indeplinesti obiectivele respective va exista o penalitate financiara si atunci investitorii stiu ca investesc intr-o companie, intr-un instrument verde, isi indeplinesc si ei cerintele lor legale si daca cumva compania nu face ce a zis, vor avea si un incentive (stimulent ) financiar. Am strans 48 mil Euro printr-un instrument verde, acesta este primul pas dintr-un plan de 250 mil. euro bani pe care vrem sa ii strangem in urmatorii 5 ani.  Am reusit sa convingem ASF sa aprobe un program de emisiuni repetate de obligatiuni (medium term notes programme)“, precizeaza Marius Stefan.

“Noi vom folosi bani pe care i-am atras si ii vom atrage pentru dezvoltarea business-ului adica finantarea clientilor existenti si pentru achizitia de alte companii. Avem apetit de achizitie dupa BT OL (BT Operational Leasing). Avem in intentie sa achizitionam alti jucatori din piata de mobilitate. Ne uitam la mai multe tranzactii si in diverse stadii. Anul viitor vom continua sa emitem tot instrumente verzi si ce cred ca vom face diferit vom face emisiuni de finantari mai mici, dar targetate pe cate un investitor sau pe cate o categorie de investitori. Mai degraba, vom fi reactivi la nevoile investitorilor care vor veni la noi – uite vreau sa plasez atatea milioane euro la randamentul asta si vom face un instrument verde special pentru el. Se schimba un pic paradigma“, arata co-fondatorul Autonom Services.

“La nivel de grup, in ianuarie anul acesta am infiintat un holding – Autonom este o afacere de familie, da, continuam sa investim in afaceri legate de mobilitate. Am achizitionat jucatori din domeniul asistentei rutiere, care cred ca e cel mai mare din Romania, am achizitionat o retea de servicii in domeniul spalatoriei si anvelopelor, suntem cel mai mare actionar intr-un jucator top 10 broker de asigurare si am finalizat un plasament privat si anul viitor il vom lista la bursa. Avem tot felul de initiative strategice in zona de mobilitate“, a mai spus Marius Stefan.

“Dar inafara de acestea, am infiintat un mic family office se numeste ATM Ventures, detinut de mine si fratele meu, unde facem doar investitii in pachete minoritare in startup-uri si suntem un fel de LP, investim in mai multe fonduri, care investesc la randul lor in companii – avem 3 fonduri in care am investit pana acum si direct si indirect prin intermediul fondurilor din ianuarie pana in decembrie, deci in ultimele 12 luni, suntem actionari direct si indirect in peste 50 de companii. Suntem investitori in ROCA X, suntem parteneri ai lui Andrei Pitis in Simple Capital si mai este un vehicul specializat in zona de modern food Blueberry Muffin al lui Paul Ghita“, a declarat Marius Stefan de la Autonom la evenimentul MIRSANU.RO.
