Bancherii de investitii ai Raiffeisen au asistat EBRD la vanzarea integrala a operatorului portului Giurgiulesti din Moldova catre operatorul portului Constanta

Bancherii de investitii ai Raiffeisen Bank Romania au asigurat consultanta financiara exclusiva pentru Banca Europeana pentru Reconstructie și Dezvoltare (EBRD) la vanzarea operatorului portului international Giurgiulesti din Republica Moldova, conform informatiilor transmise jurnalului de tranzactii MIRSANU.RO.

EBRD a anuntat pe 28 mai 2026 ca a finalizat tranzactia de vanzare a participatiei de 100% din ICS Danube Logistics SRL catre CNAPM SA Constanta, operator al portului maritim Constanta aflat sub controlul statului roman.

Contractul de vanzare-cumparare pentru 100% din actiunile portului Giurgiulesti a fost semnat pe 31 decembrie 2025, iar aprobarea acestuia a fost anuntata de catre operatorul portului Constanta la 12 februarie 2026.

Echipa de proiect a Raiffeisen Bank Romania care a finalizat cu succes tranzactia a fost formata din George Mucibabici Jr. (Head of Investment Banking), Karina Ogic (Executive Director – M&A) și Dan Vlasiu (Analyst).

Tranzactia a fost rezultatul unui proces competitiv extensiv de vanzare, la capatul caruia a fost selectat CNAPM Constanta ca si ofertant preferat (preffered bidder), conform vanzatorului EBRD.

De asemenea, achizitia semnata de catre CNAPMC consolideaza parteneriatul strategic dintre Romania și Republica Moldova, precum și rolul portului Giurgiulesti ca principala poarta maritima a Moldovei, gestionand peste 70% din comertul maritim al tarii și mentinand o pozitie regionala puternica.

Portul Constanta aduce atat capital, cat și expertiza operationala, cu un plan strategic axat pe modernizarea infrastructurii portului de la Giurgiulesti, extinderea capacitatii prin noi dane și dezvoltari de terenuri, diversificarea serviciilor și integrarea portului in reteaua comerciala a Marii Negre.

Pe termen lung, Portul Constanta se angajeaza la investitii destinate extinderii capacitatii, imbunatatirii infrastructurii și consolidarii pozitiei sale in bazinul Marii Negre și al Dunarii – sporind competitivitatea PILG, rezilienta logistica a Moldovei și conectivitatea comerciala regionala.

CNAPM Constanta are ca actionar minoritar semnificativ Fondul Proprietatea, care detine o participatie de 20% din compania de stat. CNAPMC a raportat pentru 2024 un profit net de 256 mil. RON, in crestere anuala cu peste 20%, si o cifra de afaceri neta de 479 mil. RON, in scadere cu 12% fata de 2023.

Ioana Filipescu Stamboli has over 30 years of experience in financial advisory and investment banking with EBRD, KPMG Raiffeisen Investment, Deloitte Central Europe. In the recent years she resumed an independent M&A advisory position.

Throughout her career, Ioana has contributed at closing over 50 M&A transactions, predominantly supporting local entrepreneurs divesting, but also serving private equity clients and international corporates.

Ioana is ranked first among M&A consultants in Romania by number of successful transactions closed, according to league tables compiled by global M&A market monitoring company Mergermarket. Ioana is a graduate of École Nationale d’Administration – ENA and has an executive master in business administration and a master’s degree in engineering.
