Adrian Tanase, Bursa de Valori Bucuresti: Urmatorul IPO pe piata principala a bursei de la Bucuresti va fi al unei companii private. Cand se vor normaliza conditiile pe piata, sunt convins ca vom trece de la 1-2-3 listari pe an pe un alt palier. In Romania nu suntem obisnuiti sa gestionam companii cu 100% free float pe bursa, ne plac cele in care este un investitor strategic

“Este foarte multa incertitudine – este incertitudine globala, incertitudine locala, toate astea se traduc cateodata intr-o volatilitate foarte mare. Am avut si o perioada de lichiditate destul de redusa si ceea ce vedem este ca piata primara nu are cum sa fie o piata foarte activa – piata de listari, mai ales de actiuni. Este normal ca in astfel de momente de incertitudine, apetitul pentru <<risky assets>> (active cu grad mai mare de risc, n.r.) sa fie mai redus”, a declarat Adrian Tanase, CEO Bursa de Valori Bucuresti (BVB), in cadrul MIRSANU IPO CHALLENGE 2025, eveniment online organizat pe 10 aprilie de catre jurnalul de tranzactii MIRSANU.RO pentru comunitatea implicata in tranzactiile de pe pietele de capital.

“Ceea ce asteptam este sa se normalizeze toata aceasta situatie, adica sa capatam mai multa certitudine. Si dobanzile sunt destul de sus, vedem si Fidelis care se emite lunar la dobanzi usor de 7% la RON, la euro 4 – 5 -6%, dobanzi foarte bune si aceste dobanzi destul de ridicate putem spune ca reduc apetitul pentru altceva, pentru un activ <<risk free>> (fara risc, n.r.) din punct de vedere al investitorului din Romania, avand un yield atat de bun se reduce apetitul pentru actiuni”, a adaugat acesta.

“Avem si spectrul politic local, asteptam alegerile din mai, avem si spectrul fiscal local, le avem pe toate, iar in conditiile astea, sa discutam despre IPO-uri si pipeline-uri, pe termen scurt este foarte multa incertitudine. Nu sunt foarte optimist. Dar pe termen mediu da. Sa speram ca nu avem vreo <<lebada neagra>> (eveniment major neprevazut, n.r.) care se ascunde printre noi. Odata cu normalizarea acestor conditii si mai multa certitudine sunt convins ca vom ramane la un pipeline de piata primara. Ceea ce stim este ca foarte multe companii se uita catre posibilitatea de a se lista, guvernul cu PNRR are obligatia de a lista alte 3 companii, iar Bursa de Valori lucreaza in cadrul unor grupuri de lucru organizate pentru a identifica aceste 3 companii. Avem si sectorul energetic care are nevoie de foarte mult capital si sunt convins ca vor accesa in mare masura de pe piata de capital. Toate aceste premise si discutii care se intampla ma fac sa fiu optimist pe termen mediu, dar bineinteles ca o conditie pentru revenirea deal-urilor trebuie sa capatam mult mai multa certitudine fata de ce avem acum”, a completat reprezentantul BVB.

“Avem si tranzactia cu Regina Maria care ne face sa fim optimisti, care, desi nu este un <<deal>> de <<public equity>> (actiuni ale unei companii listate, n.r.), este un <<deal>> care spune multe despre apetitul investitiilor pentru Romania si ne face optimisti si in ceea ce priveste dezvoltarea pietei de capital din Romania”, sustine Adrian Tanase.

Pe 1 aprilie 2025, managerul regional de fonduri de private equity MidEuropa a anuntat vanzarea retelei de servicii medicale private Regina Maria din Romania si Serbia in cadrul unei tranzactii a carei valoare nu a fost facuta publica, estimata in jurul valorii de 1,2 mld. Euro, conform informatiilor disponibile pentru jurnalul de tranzactii MIRSANU.RO.

In 2025 s-ar mai putea face un IPO pe bursa de la Bucuresti?

“Depinde de cat de pregatita este respectiva companie, daca vorbim despre sectorul privat. Daca are toate raportarile IFRS, daca are o guvernanta foarte buna, se poate face foarte repede. Ne uitam la exemplul One (One United Properties) din 2021, care s-a miscat foarte repede. Daca compania este pregatita, vad fezabil sa mai vedem IPO-uri in 2025. Speram sa vedem si cresteri de free float pentru companiile déjà listate”, a raspuns directorul general al BVB.

Vor continua emisiunile de obligatiuni EMTN bancare si corporative non – bancare pe BVB? Sunt semnale ca vor urma astfel de tranzactii?

“Imediat urmatoare nu avem. Sunt semnale ca vor veni Romgaz, care isi va continua programul de obligatiuni. Avem si Electrica. Sunt semnale ca vom avea in zona aceasta de corporate emisiuni”, a spus Adrian Tanase.

In ceea ce priveste potentialii emitenti, care sunt cel mai aproape acum sa faca tranzactii pe bursa tranzactii IPO sau emisiuni de obligatiuni vor fi companiile de stat sau cele antreprenoriale sau tot statul?

“Nu mi-as dori sa dau un verdict. Si eu mi-as dori sa vad din sectorul privat mai multi (emitenti, n.r.). Este clar ca sectorul energetic. Sunt foarte multe companii de stat care activeaza aici si ar trebui sa fie foarte active in continuare pentru finantari pe piata de capital. Aici vedem candidati pe termen mediu. Pe termen scurt, toata lumea asteapta, este inca incertitudine. Dar lucrurile nu se opresc, sunt foarte multi care isi pregatesc anumite decizii de a accesa pietele de capital”, afirma reprezentantul bursei de la Bucuresti.

“Este un semnal foarte bun ca firmele romanesti cresc in sofisticare, in maturitate si astfel creste si sansa ca ele sa ia in considerare finantarea prin piata de capital”, a adaugat acesta.

Urmatorul IPO de la BVB va fi o companie privata sau una de stat?

“O companie private”, a raspuns Adrian Tanase, fara sa ofere alte detalii.

Sunt in pipeline tranzactii SPO sau de majorare de capital pentru companii listate pe piata primara?

“Da, sunt. Se poate sa avem si din zona portofoliului Guvernului. A si fost anuntata anul trecut de a se flota inca 10% din Hidroelectrica. Zona asta de majorari de capital si mai ales in sectorul privat e o decizie mai dificil de luat. Este o chestiune de evaluare, dar speram sa vedem mult mai multa activitate si in zona asta de finantari prin emisiuni de equity”, sustine directorul general al BVB.

Daca ne uitam la ultimii 10 ani in urma, bursa de la Bucuresti a avut in medie intre una si doua listari pe an pe piata principala, exceptia fiind 2021 cand au fost realizate 3 IPO-uri. Poate bursa de la Bucuresti sa realizeze mai multe listari?

“Anul 2021 a fost un an cu un semnal foarte puternic, am avut 23 de equity listing, din care doar trei pe piata reglementata si inca 20 pe piata Aero. Cred ca in ultima perioada a fost un pic de ghinion. Am fi iesit din bracket-ul asta de 1 – 2 listari pe piata reglementata”, este de parere CEO-ul Bursei de Valori Bucuresti.

“Trebuie sa recunoastem ca in 2022 am avut un eveniment care a generat crestere de dobanzi. Nu as putea spune ca este o situatie generala, pe care sa o judec la modul general. Pentru mine este clar ca ceea ce s-a intamplat in 2022 are o alta explicatie si o putem vedea si la nivel global unde piata de listari s-a contractat foarte tare”, a spus Adrian Tanase.

“Odata ce se vor normaliza toate aceste chestiuni, sunt convins ca vom iesi din zona asta de 1 – 2 – 3 listari pe piata reglementata pe an si ca vom intra intr-un alt palier”, sustine acesta.

Ce se vede la tranzactiile din ultimii ani de pe piata de capital de pe bursa de la Bucuresti?

“Nu prea avem deal-uri cu emisiuni de actiuni. Asta inseamna ca o companie care se listeaza devine mai atractiva si pentru sistemul bancar, deci practic isi ia in continuare finantari din sistemul bancar”, afirma reprezentantul BVB.

“Si ce mai vedem este ca sunt companii care daca listeaza pe piata vin cu emisiuni de obligatiuni. Ce nu vedem inca poate este ca nu avem aceasta cultura a diluarii – inca nu se vede foarte multa activitate in sensul ca de a se lasa actionarul un pic diluat. Cred ca este inca o mica reticenta pentru cei care conduc efectiv compania si prefera forme de finantare sub forma de datorie”, a semnalat Adrian Tanase.

Cand vom mai avea un an cu 3 IPO-uri pe piata reglementata ca in 2021?

“Sunt convins ca vom mai putea avea. Ceea ce vedem pe piata de capital este ca zona asta de piata primara este influentata si de alti factori. Ultimii 4 ani au fost influentati de dobanzile astea mari si totusi am avut deal-ul Hidroelectrica in acest context. Si Hidroelectrica are specificul ei. Sectorul energetic a fost favorabil la acel moment. Ce trebuie sa fim constienti este ca piata de capital este mult mai puternica si devine din ce in ce mai puternica decat era acum 10 ani, ca si comunitate de investitori domestica, ca si investitori straini”, a punctat reprezentantul BVB.

“Avem partea asta de buy side (investitori, n.r.) foarte foarte puternica. Problema noastra este pe sell side (pe tranzactii de vanzare, n.r.) ca nu prea avem pipeline (tranzactii in pregatire, n.r.), iar acest lucru se va crea, nu are ce sa il opreasca decat vreo <<lebada neagra>>”, a completat acesta.

“Resursele sunt din ce in ce mai serioase in piata de capital, eu sunt convins ca din ce in ce mai multe companii din sectorul privat afla de aceste lucruri. Numai daca vorbim despre Pilonul II de pensii, care are active de peste 30 mld. Euro si nu prea a avut in ce sa investeasca, sunt foarte multi si private individuals (investitori individuali) si din afara tarii care se uita la Romania pentru deal-uri. De asta spun ca pe termen mediu sunt optimist ca vom avea un pipeline din ce in ce mai activ si dinspre sectorul privat pentru piata de capital”, a subliniat directorul general al BVB.

“Daca suntem in conditii normale de pace si economice la nivel locale, la nivel global, pipeline-ul acesta va veni natural. Vom avea si partea asta de private equity care va fi mult mai activa, si, in mod natural, vom avea si zona de equity (tranzactii de vanzare si de emitere de capital, n.r.) la o piata de capital”, a adaugat el.

“Aici este si o alta discutie – in Romania nu prea suntem noi obisnuiti cu 100% free float si cum gestionam noi astfel de companii. Noua ne plac companii cu un investitor strategic care sa aiba acolo grija, dar ar trebui sa incepem sa avem incredere si in echipe de management care sa aiba grija de banii investitorilor, chiar daca nu este niciun investitor strategic acolo. Sunt foarte multe astfel de etape de educare a comunitatii de investitori pe care va trebui sa le parcurgem, dar eu nu vad ce ar putea sa opreasca acest trend de a avea o piata de capital mult mai prezenta in economia noastra”, a subliniat directorul general al bursei de la Bucuresti.

De ce companiile prefera finantarea bancara in raport cu cea de pe piata de capital?

“Mie nu-mi place asta cu piata de capital ca alternativa la finantarea bancara. Sper sa scapam de asta cu alternativa pentru ca ele nu sunt alternative, ci ar trebui sa se completeze una pe alta”, a spus Adrian Tanase.

“Companiile mature trebuie sa le vada ca sunt doua linii de finantare absolute diferite cu profile diferite si perceptia pe care ar trebui sa o avem este ca ele sunt complementare, nu sunt alternative si ca o piata de capital are un apetit la risc mai mare decat sistemul bancar si ca, la un moment dat, iti trebuie si capital mai riscant”, afirma acesta.

“Trebuie sa vedem ca aceste doua linii de finantare sunt complementare si ca odata cu cresterea companiilor antreprenoriale in complexitate si in marime si in strategie, in mod natural, trebuie sa vedem mai multe deal-uri pe piata de capital si in aceasta directie. Daca sistemul bancar are foarte multa lichiditate si piata de capital are foarte multa lichiditate”, a mai spus Adrian Tanase, CEO Bursa de Valori Bucuresti, la panelul Tendinte pe pietele de capital al evenimentului organizat de catre jurnalul de tranzactii MIRSANU.RO.

Euro, in timp ce la programele de retail dupa cum au mers pana acum subscrierile vom depasi 10 mld. Euro. “Nu sterilizam deloc lichiditatea pentru ca nu facem un buffer din banii atrasi din emisiunile de titluri Fidelis si Tezaur, care se duc tot in sistemul bancar”

 

Marcel Cobuz, Titan Cement: Pietele de capital europene sunt marcate de un handicap al rating-urilor relativ scazute fata de piata americana, iar asta a fost un motiv pentru care noi am ales in februarie 2025 New York Stock Exchange pentru IPO-ul entitatii noastre americane ceea ce ofera lichiditate, vizibilitate globala, multipli de evaluare mai buni si acces la investitori sofisticati. Ceea ce poate fi inspirational pentru alte burse este ca pana si bursa americana tinteste IPO-uri sub 50 mil. USD

Piata bancara locala de corporate este deschisa pentru imprumuturi sindicalizate la valori semnificativ peste 500 mil. Euro

 

Cristian Nacu, International Finance Corporation: Portofoliul IFC din Romania depaseste 1 mld. USD pe partea de investitii in emisiuni de obligatiuni ale institutiilor financiare, din care peste doua treimi sunt obligatiuni MREL emise de catre banci. Finantam si investitii de decarbonizare ale companiilor romanesti in zona de productie, energie, agribusiness sau real estate  

 

Ionut Lianu, CEC Bank: Suntem foarte avansati cu cadrul de emisiuni verzi si ma astept ca urmatoarea emisiune de obligatiuni oricand va fi lansata pe piete sa fie una verde. Ne uitam sa atragem capital catre finele acestui an sau anul viitor in functie de evolutia pietei si a bilantului nostru 

 

Laurentiu Stan, Kapital Minds: O companie de curierat ar fi un candidat potrivit pentru un IPO. Valoarea unei companii este mai mica intr-un IPO fata de o vanzare intr-o tranzactie de M&A pentru ca pe bursa sunt discountate de catre investitori lipsa pachetului de control din tranzactie si riscul mai ridicat. Ce arata multiplii de evaluare de la vanzarea Regina Maria vs Medlife si Medicover, respectiv evaluarea Premier Energy dupa listarea din 2024 de pe bursa de la Bucuresti

 

Richard Wilkinson, CTP: In Europa, piata de obligatiuni si piata bancara traiesc in vremuri diferite. Am facut prima tranzactie de finantare inafara Europei si am accesat recent piata japoneza, al treilea bazin de lichiditate din lume. Cu cat avem mai multe surse de lichiditate, cu atat ne va fi mai usor sa avem mereu acces la capital si sa ne optimizam costul de finantare al grupului

 

Bogdan Campianu, Wood & Company: Ce arata harta IPO din regiune – cele mai active piete din ultimii 5 ani au fost Polonia, Grecia si Romania si tot in cele 3 piete este si cel mai mare potential IPO. In Romania, o mare problema este amanarea alegerilor prezidentiale pentru ca inseamna ca am mai pierdut o jumatate de an pana vom avea o oarecare claritate, asta dupa ce 2024 a fost un an cu mai multe runde de alegeri pe care investitorii l-au discountat ca atare

 

Mihai Caruntu, Asociatia Analistilor Financiar – Bancari din Romania (AAFBR): Ne-am obisnuit sa ne gandim la bursa ca rol de finantare a companiilor, insa IPO-urile majore din ultimii 5 ani de pe bursele de la Varsovia si Bucuresti au fost, de regula, exituri ale unor investitori financiari. Cel mai important pentru antreprenori este calibrarea unei tranzactii IPO, sa lase potential de crestere si dupa listare pentru a multumi investitorii si sa nu uite ca profiturile companiei sunt combustibilul pietei de actiuni

Adrian Tanase, CEO of the Bucharest Stock Exchange, is one of the speakers of MIRSANU INVESTORS SUMMIT 2025.

Adrian Tanase was appointed CEO of the Bucharest Stock Exchange in January 2018. As of November 2019, Mr. Tanase is Chairman of CCP.RO Bucharest, the company that will provide the central counter party services on the Romanian capital and energy market.

As well, between 2018 and 2021  he was member of the Board of Central Securities Depositary. With a CFA Institute title, Mr. Tanase entire experience is in the financial industry.

Prior to joining Bucharest Stock Exchange, Adrian Tanase was part of the ING Group team in Romania for 12 years. He joined the ING team in 2006 as Equity Portfolio Manager for ING Insurance, later in 2008 he was appointed Equity Portfolio Manager in ING Asset Management, and after three years Mr. Tanase was promoted to CEO of ING Asset Management.

In 2013, Mr. Tanase was appointed Chief Investment Officer in NN Pensions, the largest Pilar II Private Pension Manager in the Romanian Market, till 2018, when he joined Bucharest Stock Exchange team. Mr. Tanase started his career in 1998, as financial analyst.

Radu Hanga, President of the Board of Directors at Bucharest Stock Exchange, is one of the speakers of MIRSANU DEALMAKERS SUMMIT 2024.

Radu Hanga is the Chairman of the Board of Bucharest Stock Exchange (BVB), since 2020, and of the Central Securities Depositary, since 2023.

Since June 2023. Mr. Hanga is also Chairman of Federation of Euro-Asian Stock Exchanges(FEAS).

Prior, between 2017 and 2020, he was member of BVBs’ Board of Directors. From 2020 until 2022, he was also a memberof the Executive Committee of the Association of Asset Managers in Romania (AAF). Before, between 2015 and 2020, Mr. Hanga was President of AAF. He has an extensive experience in the financial markets and followed the Strategy Execution Programme (INSEAD), the MBA Program (IDE), postgraduate studies in Business Administration (European Institute for Business Administration UBB), specialization in International Financial System (IBR in partnership with Chartered Institute of Bankers Scotland), Erasmus Program (University of East London).

Mr. Hanga started his career in the financial markets in 1997, as analyst at the brokerage companySSIF Broker (BRK), and in 1999 he joined Banca Transilvania’s team (TLV), as Capital market officer (1999 – 2002). He held more positions in Banca Transilvania group of companies, among which Vice-President of the Board of Directors of BT Securities (2001-2005), Head of Capital Market Department at Banca Transilvania (2002-2013), CEO of SAI BT Asset Management (2005-2013), Strategy Executive Officer-Group Coordination of Banca Transilvania (2013-2017) and Senior Advisor for the Board of Directors of Banca Transilvania (2017-2020). Mr. Hanga was member of the Board of Directors of other listed companies such as Boromir Prod (2013 – 2017), SIF Moldova (2013 – 2017) and SIF Oltenia (2017 – 2020).

Adrian Tanase, CEO of the Bucharest Stock Exchange, is one of the speakers of MIRSANU IPO CHALLENGE 2024.

Adrian Tanase was appointed CEO of the Bucharest Stock Exchange in January 2018. As of November 2019, Mr. Tanase is Chairman of CCP.RO Bucharest, the company that will provide the central counter party services on the Romanian capital and energy market.

As well, between 2018 and 2021  he was member of the Board of Central Securities Depositary. With a CFA Institute title, Mr. Tanase entire experience is in the financial industry. 

Prior to joining Bucharest Stock Exchange, Adrian Tanase was part of the ING Group team in Romania for 12 years. He joined the ING team in 2006 as Equity Portfolio Manager for ING Insurance, later in 2008 he was appointed Equity Portfolio Manager in ING Asset Management, and after three years Mr. Tanase was promoted to CEO of ING Asset Management.

In 2013, Mr. Tanase was appointed Chief Investment Officer in NN Pensions, the largest Pilar II Private Pension Manager in the Romanian Market, till 2018, when he joined Bucharest Stock Exchange team. Mr. Tanase started his career in 1998, as financial analyst.

Jurnalul de tranzactii MIRSANU.RO organizeaza pe 13 iulie evenimentul ROMANIAN CAPITAL MARKET 2023 NEW HORIZON, care va dezbate perspectivele pietei de capital din Romania sub efectul a doua proiecte majore – finalizarea celui mai mare IPO din istoria bursei de la Bucuresti si aprobarea deciziei de investitii la Neptun Deep, care ar putea atrage noi tranzactii de finantare prin intermediul pietei bursiere.

 

ARGUMENT.

Piata de capital din Romania se pregateste de un salt major in iulie 2023, cand liderul in productia locala de energie electrica Hidroelectrica este asteptat sa intre la tranzactionare sub simbolul H2O pe piata principala a bursei. Cel mai mare IPO lansat in istoria Bursei de la Valori Bucuresti are sansa de a schimba anvergura pietei locale de capital – de la potentiali candidati IPO la investitori de talie globala care ar pune Romania in portofoliile lor de investitii, de la evaluari mai importante pentru companiile romanesti publice pana la trecerea la statutul de piata emergenta in clasificarile MSCI. 

Dincolo de intrarea Hidroelectrica pe bursa, mai este déjà un proiect major pentru Romania – Neptun Deep – care intra in faza de investitie, fiind anuntat un plan CAPEX de circa 4 mld. Euro, din care cea mai mare parte a banilor urmeaza sa fie alocati in anii urmatori. Neptun Deep inseamna 4 mld. Euro investitii pe care le vor derula OMV Petrom, liderul pietei petroliere locale, si Romgaz, liderul pietei interne de gaze naturale, ambele fiind listate pe bursa de la Bucuresti, unde intra in componenta principalui indice bursier, BET. Din aceasta nevoie uriasa de investitii vor rezulta si emisiuni de obligatiuni sau alte forme de atragere de capital extern de la investitorii de pe pietele de capital pentru extragerea gazelor din Marea Neagra. 

IPO-ul Hidroelectrica, proiectul Neptun Deep si nevoia aferenta de finantare, asaza Bursa de Valori Bucuresti la alta scara ce are potentialul imediat de a majora ordinul de marime al viitoarelor IPO-uri si al instrumentelor de finantare generate pe piata locala.

Remus Danila, Head IR & Business Development Bucharest Stock Exchange, is one of the speakers of THE SUSTAINABILITY CHALLENGE 2022, an event organized by the transaction journal MIRSANU.RO and dedicated to changes and challenges generated by sustainability in business models and financing models of the companies.

Remus Danila has been involved in the capital markets field for 15 years, both in the brokerage business and in the stock exchange environment.

Between 2005 – 2016, he worked for the Belgian group KBC Securities in Romania, Belgium and Hungary, covering institutional clients active in the CEE region. Afterwards, he joined Budapest Stock Exchange as director for international relations.

Since 2019, Remus is part of the Bucharest Stock Exchange team, being responsible of Public and Investor Relations as well as Business Development activities, including the ESG related projects managed by BVB. He graduated the MBA program of HEC Paris and the Faculty of Finance and Banking of ASE Bucuresti.
