Sorin Petre, Partner Valuation & Economics PwC Romania, is one of the speakers of MIRSANU DEALMAKERS SUMMIT 2023.

Sorin is Partner with PwC Romania, Deals – Advisory practice, being the leader of the Valuation & Economics (V&E) and of the Business Restructuring Services (BRS) teams. He is specialized in business valuations, valuations of real estate, valuation of financial instruments, valuation reviews, financial modeling and assistance in business plans preparation, financial analysis, economic and financial feasibility studies. 

Sorin has more than 26 years of experience in these areas and was involved in a significant number of projects for various industries, primarily energy: electricity (production, supply, distribution) and oil& gas. . 

Sorin Petre is the former President of the National Association of Romanian Authorised Valuers (“ANEVAR”) for the period 2020 – 2021. He is ACCA graduate following a 4-year training program and CFA charterholder. He is also member of the Romanian Auditors Chamber and of the National Association of ANEVAR being a certified valuator specialized in business and financial instruments valuation. Sorin is member of RICS (“Royal Institution of Chartered Surveyors”) and is a “Recognised European Valuer – REV” by TEGoVA – The European Group of Valuers’ Associations.  

He has extensive knowledge of regulations in the electricity sector, a significant part of the projects coordinated by him involving the analysis of the electricity market, applicable regulations, state aid mechanisms, financial feasibility analysis.

Cornelia Bumbacea, PwC: Piata M&A din Romania este in crestere in 2022 fata de 2021, numarand peste 300 de tranzactii cu o valoare totala de peste 6 mld. euro. Multi investitori vor sa vada cum se incheie tranzactiile pana la finele anului, avand in vedere ca majoritatea evaluarilor au la baza rezultatele din 2022. Ce cumparator este potrivit pentru activele Enel din Romania

“Este dificil sa spunem fara statistici, lucram la ele. In 2019, am avut 215 tranzactii, in 2020 au fost circa 254 de tranzactii, ne-am oprit pentru 2021 sa comunicam aceste date, dar pe baza informatiilor preliminare pe care le avem au fost undeva sub 300 de tranzactii, iar 2022 este surprinzator in ciuda trendurilor de pe piata globala de M&A. Sunt peste 300 de tranzactii in 2022“, a declarat Cornelia Bumbacea, Partner, Deals Advisory Services, PwC Romania, la MIRSANU DEALMAKERS SUMMIT 2022, a cincea editie anuala a evenimentului organizat pe 6 decembrie de catre jurnalul de tranzactii MIRSANU.RO alaturi de jucatori activi in tranzactiile de M&A, finantare de companii, piete de capital si real estate din Romania si din alte piete ale Europei Centrale si de Est.

Potrivit acesteia, analiza PwC ia in calcul atat majorari de capital, exit-uri, diferite tipuri de parteneriate intre investitori, inclusiv din randul celor care nu au o prezenta directa in Romania, tranzactii de consolidare.

“Marimea medie a companiilor romanesti este destul de mica, nu avem o tema pentru tranzactii mari sau sunt cateva tichete mari de vazut daca vor fi si niste exituri“, puncteaza Cornelia Bumbacea.

“Daca estimarile in real estate se asteapta la 1,5 mld. euro (tranzactii in sector pentru acest an – n.r.), feeling-ul meu este ca vom depasi 6 mld. euro in acest an comparativ cu 5,2 mld. euro anterior si 5,5 mld. euro in 2021 sau in jurul acestor valori. Sunt cateva tranzactii mari si inca asteptam sa vedem, dar nu vor fi inchise pana la finele anului, vor fi undeva in luna ianuarie“, afirma consultantul PwC.

“Stiu ca Consiliul Concurentei este foarte ocupat, deci se asteapta sa se inchida mai multe tranzactii, nu toate fiind facute publice la momentul semnarii“, sustine Cornelia Bumbacea.

Potrivit acesteia, tichetele mari din energie, tehnologie si sectorul industrial sunt inca in topul sectoarelor in ceea ce priveste tranzactiile de M&A.

“Sunt foarte optimista. Am vazut o incetinire a activitatii in septembrie si octombrie, mai degraba o stagnare. Nu toate tranzactiile merg spre a fi semnate sau inchise, unele sunt pe hold, dar tot avem destule tranzactii. Piata de M&A nu scade. Suntem destul de ocupati lunile care vin, finalul de an foarte ocupat. Multi investitori vor sa vada cum se incheie 2022 pentru ca majoritatea evaluarilor se bazeaza pe rezultate din 2022 asa ca este o stare de watch and see“, puncteaza consultantul PwC.

“Unde vedeti multipli, trebuie sa stiti ca sunt multe ajustari, ajustari de preturi post-tranzactie si altele, asa ca aveti grija ca acesti multipli nu sunt cei exacti. Sunt anumite lucruri care fac o poza complet diferita“, sustine Cornelia Bumbacea.

Fondurile de private equity de pe piata din Romania sunt orientate mai mult catre tranzactii de exit sau de achizitie?

“Vad ambele tipuri de tranzactii. Sunt multi antreprenori dispusi sa-si faca exitul, dar raman in pozitii de management pentru a genera valoare pe perioada ramasa. Impreuna ating un anumit nivel indiferent ca vor sa faca cash in (sa investeasca in afacere – n.r.) si sa cristalizeze, unii devin investitori de tip business angel. Si vedem si investitori care cauta sa faca un parteneriat, vor sa navigheze prin aceste incertitudini alaturi de un partener si sa stea pentru o perioada de timp de 3 – 5 ani sau alta, iar apoi isi fac treptat exitul complet din afacere. Este o combinatie (de variante – n.r.). Ceea ce am vazut depinde de vointa partilor si cum vor sa-si continue calatoria, dar am vazut ambele tipuri de exituri – mai inclinat catre exit si sta un numar de ani si un numar mult mai limitat de parteneriate pentru ca parteneriatele nu sunt usoare, ai un mix impreuna cu actionarii minoritari si managementul si erai obisnuit sa controlezi afacerea si sa iei decizii pe cont propriu, ceea ce acum trebuie sa lasi in mana altei parti. Trebuie sa ai incredere ca va merge. Uneori nu merge neaparat“, afirma consultantul PwC.

Ce profil de cumparator se potriveste mai bine la achizitia activelor Enel din Romania, un investitor strategic sau unul financiar?

“Depinde de ce vrea Enel. Trebuie sa analizezi ceea ce investitorii strategici aduc la masa si ce aduc investitorii financiari. Enel este de multi ani pe piata, afacerea sa a crescut la un nivel la care activele sale din Romania o duc destul de bine, deci cred ca vor vrea sa incaseze si sa marcheze un pret bun. Cateodata, un investitor strategic plateste mai bine, dar la acea marime de tranzactie cred ca va depinde de ce fel de tranzactie cauta si nu am un insight asupra acestui lucru“, a mai spus Cornelia Bumbacea. Un alt profil de cumparator potrivit sunt fondurile de infrastructura pentru ca acestea sunt genul de active care se preteaza pentru fonduri de infrastructura, dupa cum am vazut la tranzactia CEZ (unde cumparator a fost unul dintre fondurile de infrastructura administrat de catre Macquarie – n.r.)“, a mai spus Cornelia Bumbacea, Partner, Deals Advisory Services, PwC Romania, in cadrul panelului Cumparatori vs Vanzatori al evenimentului organizat de catre jurnalul de tranzactii MIRSANU.RO.

Cornelia Bumbăcea, Partner, Deals Advisory Services, PwC Romania is one of the speakers of MIRSANU DEALMAKERS SUMMIT 2022.

Cornelia is an experienced Deals Partner and Deals Platform leader within PwC Romania, with more than 30 years of deals related experience within Big4 companies, both in Romania and CEE region.

She advised high profile private investors (both strategic and financial investors) in complex deals (600+ deals, including 150+ PE deals) on acquisitions of /divestments from Targets operating in various sectors: power and utilities, pharma and healthcare, IT&C, media and entertainment, diversified industrial products, retail, consumer goods and real estate sectors.
