Jean Dumitrescu, Aquila: Daca vrei o crestere accelerata pe termen lung, atunci cu siguranta trebuie sa te duci catre listare pe bursa. Dupa IPO, poti sa faci un mix foarte bun intre fondurile atrase de la investitori cu finantarea bancara ceea ce accelereaza posibilitatile de crestere

”Aquila a ales clar calea de dezvoltare accelerata pentru ca pana la urma atunci cand comparam ca si companie varianta de finantare bancara cu varianta de listare la bursa trebuie sa ne raportam in primul rand la scopuri pe termen lung si efect. Noi asta am facut. Am vazut ca in ceea ce priveste finantarile bancare, da, mergeau bine, accesau niste costuri bune, bancile ne stiau de multa vreme, insa ce era diferit in mod fundamental cresterea accelerata pe care ne-o doream, obiectivele fiind atat de crestere a portofoliului, cat si crestere prin achizitii”, a declarat Jean Dumitrescu, Investor Relations Director in cadrul Aquila la MIRSANU IPO CHALLENGE 2023, eveniment online organizat pe 25 mai de catre jurnalul de tranzactii MIRSANU.RO.

”Daca vrei o dezvoltare accelerata, o crestere accelerata pe termen lung, atunci cu siguranta trebuie sa te duci catre bursa. Pentru ca finantarile bancare iti aduc lucruri one off adica ai niste linii de capital de lucru pentru cresterea normala pe de o parte, si respectiv poti sa accesezi niste finantari pentru diverse proiecte, inclusiv pentru achizitii evident. Insa totdeauna sunt judecate one off si au niste conditii de bursare diferite. In momentul in care insa iei decizia ca vrei sa cresti accelerat, sa te listezi la bursa atunci trebuie sa iti asumi o comunicare pe termen lung cu investitorii. Asta este iarasi o diferenta intre o finantare la bursa si o finantare bancara”, adauga acesta.

”Finantarea la bursa vine cu o responsabilitate si o obligatie de comunicare cu investitorii. Nu numai de analiza permanenta si explicare a strategiei si a planurilor si a rezultatelor, ci si un proces continuu de vizibilitate. Ceea ce este evident un efort de care o companie nu mai are nevoie de el in finantarile bancare. In acelasi timp este si un avantaj. Pentru ca vizibilitatea asta vine si cu oportunitati”, mai spune Jean Dumitrescu.

”Dar trebuie sa iti asumi comunicarea, vizibilitatea si mecanismele de guvernanta corporativa, care te si ajuta pentru ca lucreaza in favoarea ta pentru ca te autodezvolti. Daca va uitati si la perspectiva dupa IPO, da a fost un recul pentru ca noi nu eram suficient de cunoscuti si atunci investitorii capata incredere pe masura ce te cunosc mai bine. Comunicarea este un lucru continuu de explicat, de tinut aproape. (Antreprenorii – n.r.) trebuie sa se uite daca au plan pe termen lung atunci finantarea bancara nu mai satisface inclusiv din punct de vedere al dimensiunii si sa nu uite ca dupa listarea la bursa poti sa faci un mix foarte bun intre fondurile atrase de la investitori cu cele bancare, ceea ce accelereaza crestere si posibilitatile de crestere”, puncteaza reprezentantul Aquila.

Care este ruta de finantare preferata pentru planurile de dezvoltare ale Aquila?

”Sunt doua directii. Finantarea investitiilor in companii, aici ne bazam pe fondurile deja atrase de la investitori, pe de o parte. Si pe de alta parte, studiem atragerea de finantari bancare ca sa maximizam utilizarea capitalului. Avand in vedere insa costurile mari de finantare bancara de la ora asta ne uitam inclusiv la varianta in care intram cu cash pe achizitie de companii si refinantam ulterior astfel incat sa beneficiem de niste dobanzi mai bune. Asta este primul pilon. Al doilea pilon este legat de investitiile normale in mentenanta si cresterea capacitatilor noastre mai ales in zona noastra de infrastructura pentru ca noi suntem principalul distribuitor de bunuri de larg consum din Romania si ca sa ajungi in 67.000 de puncte de vanzare din retailul romanesc iti trebuie infrastructura foarte serioasa pentru ca inseamna 90% din universul de retail”, spune Jean Dumitrescu.

”Asadar, revenind un pic finantarea este o chestiune de scop pe termen lung. Este si o chestiune de perspectiva atat a companiei, cat si a investitorilor. Pentru ca iti pui problema ca si companie ce tip de parteneriat vrei. Si da poti sa te duci in zona in care investitorii investesc in obligatiuni si asta inseamna ca ei se asteapta la un anumit randament, la un tichet sau vrei sa-si asume riscul odata cu tine pentru ca in momentul in care cumpara actiuni inseamna ca investitorii isi asuma cresterea sau scaderea companiei”, afirma Dumitrescu. Pana la urma bancile se uita la capacitatea ta de rambursare, adauga acesta.

Aquila are in plan pentru acest an emisiuni de obligatiuni sau obligatiuni verzi?

”Anul acesta, nu. Pentru ca noi ne-am listat la Bursa de Valori Bucuresti acum un an si jumatate si stam pe o pozitie de cash importanta. Da, noi ne-am propus un obiectiv de dublare a EBITDA pe care am facut-o in 2021 pentru urmatorii 4 ani si trebuie sa punem banii la treaba. Suntem foarte increzatori ca ne iese o prima tranzactie anul asta, poate si mai mult si atunci ne focusam pe de o parte pe zona de M&A si pe de alta parte pe cresterea organica de portofoliu de produse, de digitalizare samd. Nu luam in calcul bond-uri acum, inclusiv as spune urmatorul lucru, eventuale bonduri sau alte iesiri pe Bursa de Valori Bucuresti le vom lua in calcul in momentul in care vom vedea ca am indeplinit niste obiective de M&A-uri de crestere, am facut niste integrari si atunci o sa ne punem problema pentru o crestere accelerata ulterioara variante noi de finantare. Deocamdata, atata vreme cat avem si cash asta inseamna ca si bancile sunt extrem de interesate sa vina cu finantare sa facem un mix, pe termen scurt nu luam in calcul”, a mai declarat Jean Dumitrescu, Investor Relations Director la Aquila in cadrul panelului Obligatiuni traditionale vs Obligatiuni verzi al evenimentului online organizat pe 25 mai de catre jurnalul de tranzactii MIRSANU.RO.

”Investitorul de retail din Romania, spre deosebire de cel din SUA cand vorbim de IPO-uri cel din SUA se uita mai mult la cota de piata, la perspective si mai putin la rezultatele financiare actuale.In Romania e un pic invers, se uita la PER care e un indicator destul de vizat de investitorul de retail si se uita intr-adevar si la dividend. Si atunci poate disponibilitatea de companii de growth in piata principala inca nu este atat de exersata”, a declarat Octavian Gogleaza, director brokeraj la Tradeville in cadrul MIRSANU IPO CHALLENGE 2023, eveniment online organizat pe 25 mai de catre jurnalul de tranzactii MIRSANU.RO.

”Agricover este un subiect interesant din multe puncte de vedere. Tuturor ne pare rau ca nu a iesit, indiferent de postura in care ne-am aflat si ne aflam vs subiectul asta”, a mai spus Octavian Gogleaza.

TradeVille a actionat ca agent de retail la IPO-ul Agricover, unde mandatul de broker a fost al cehilor de la Wood & Co.

”Cred ca prima lectie este aceasta relatie cu investitorii, si e un lucru in care noi personal investim cand organizam IPO-uri si avem doi colegi care discuta in mod constant cu emitentii si punem accent pe aceasta relatie”, sustine reprezentantul TradeVille.

”Cand publici prospectul si a doua zi ai startul de oferta, cand ai o structura de business dificila de inteles, business-ul cu divizii diferite, e mai greu de inteles si investitorul are nevoie de mai mult timp sa inteleaga, are nevoie sa te cunoasca nu neaparat pe tine ca business, ci ceea ce reprezinti tu in piata”, este de parere Octavian Gogleaza.

La IPO Agricover, transa alocat investitorilor de retail a fost de 10%, comparabila cu cea din alte IPO-uri de companii antreprenoriale.

Intrebat care este transa potrivita ce ar trebui alocata investitorilor retail la IPO, acesta a raspuns: ”E greu de estimat daca transa este potrivita de retail. Noi, de exemplu, la Agricover in conditiile actuale de piata noi am recomandat o transa de retail de 5%, care s-a si suprasubscris putin”.

”Este greu de estimat dar este clar ca sentimentul din piata, este ultra binecunoscut, lumea il asteapta de 10 ani, inclusiv retailul il asteapta. Asta a fost si feedback-ul cand am avut discutii cu clientii pe Agricover”, a mai spus Octavian Gogleaza, director brokeraj TradeVille, la panelul IPO al evenimentului organizat pe 25 mai de catre jurnalul de tranzactii MIRSANU.RO.

Daniela Secara has particular expertise in coordinating major capital market transactions, such as initial and secondary public offerings and delistings, as well as privatizations of state-owned companies. Notable transactions include coordinating the secondary public offering of Transgaz, the Romanian gas transmission monopoly, and the IPO of Nucleareletrica, the sole Romanian nuclear power plant.

She was also in charge of the team behind the primary offering of unsecured corporate bonds issued by Banca Transilvania, the public offering of DIGI Communications (telecoms) and the annual bond offerings of International Investment Bank as well as numerous other transactions on the local capital market, including the retail government bonds issued between 2020 and 2021 by the Romanian Ministry of Finance. Adrian Tanase, CEO of the Bucharest Stock Exchange, is one of the speakers of MIRSANU IPO CHALLENGE 2022 in the panel on trends in IPO and capital markets.

Adrian Tanase was appointed CEO in January 2018.

As of November 2019, Mr. Tanase is Chairman of CCP.RO Bucharest, the company that will provide de central counter party services on the Romanian capital and energy market.

With a CFA Institute title, Mr. Tanase entire experience is in the financial industry.

Prior to joining Bucharest Stock Exchange, Adrian Tanase was part of the ING Group team in Romania for 12 years. He joined the ING team in 2006 as Equity Portfolio Manager for ING Insurance, later in 2008 he was appointed Equity Portfolio Manager in ING Asset Management, and after three years Mr. Tanase was promoted to CEO of ING Asset Management. In 2013, Mr. Tanase was appointed Chief Investment Officer in NN Pensions, the largest Pilar II Private Pension Manager in the Romanian Market, till 2018, when he joined Bucharest Stock Exchange team. Mr. Tanase started his career in 1998, as financial analyst.
