2020 and 2021 have been transformative years in many ways, and they have certainly left a mark and continue to shape the M&A market going further. The key word in the M&A space has been „adapt”, and we all witnessed a change of paradigm from a traditional game of chess with moves well planned in advance to a modern-day video game, where players are constantly on the look for potential obstacles and ways to tackle them, said Madalina Neagu, M&A Partner at Schoenherr.
„The silver lining of the past two years has been the fact that the investors’ interest and availability of funds have not wavered. Things have been moving at a higher pace than ever before. With the process in some transactions conducted almost entirely remotely, most deals tend to happen swifter than two years ago. Of course, there is no size fits all solution and each pair of investor-target brings its own expectations and challenges at the negotiation table, which also impact the legal terms of the deal. Deal breakers will vary depending on the parties’ size, their experience with dealmaking, the market they operate in, the number of jurisdictions covered by the transaction. While we have no reasons to believe that transactions will have a substantial slow-down in 2022, we have to be mindful of some significant headwinds. The rise of regulatory scrutiny of M&A deals (especially in the FDI field, where most countries have introduced or plan to introduce stricter FDI screening rules), the limited predictability on the legislative changes (including the prospects of changes in taxes), and the need of innovative solutions to bridge valuation gaps, are a few of the key points that will certainly be on the agenda of the M&A players in the following years.” she added.
