“The financial system is a capital intermediation system, but today I would say that it is also an information intermediation system. In the case of sustainable finance, there is therefore a role for mediating information on the environmental impact and the social and institutional externalities of economic activity, from the scientific community and from the public to the business community or to other „capital users”. At the end of this exercise, however, I believe that sustainable finance will merge with traditional finance, in the sense that many of the sustainability standards will become, so to speak, mainstream”,  said Horia Braun-Erdei, General Manager and President of the Board of Directors of Erste Asset Management Romania.

“In Romania and in other places, it seems to me that we still look at sustainability as a „fashion”, as a business opportunity or, on the contrary, as a bureaucratic burden, but in reality my opinion is that this trend is a natural and inevitable one in the current climate change conditions, one that will radically change the way we think and act as economic actors. That is why, within the asset management industry and particularly within Erste Asset Management, the concern for sustainable investments becomes a constant for the agenda of any department, starting from sales, product management, legal & compliance, risk management, marketing and of course portfolio management”, he added.

“The sustainability challenges differ from the traditional ones since they are systemic, going beyond the boundaries of the organisation and including social and political dynamics. Due to the level of uncertainty on the market, especially regarding the legislation context (EU Taxonomy applicability and the required sustainable reporting: SFDR or CSRD), we will see delay in the implementation of sustainability aspects”, said Oana Stamatin, ESG Chief Officer Colliers CEE & Romania.

“However, we already have seen various tenants declaring ESG commitments, placing a higher emphasis on energy efficiency, carbon emissions reporting, green certifications and putting pressure on the developers and property owners to implement part of the work that will help them to reach the targets. I estimate that owners that will not align to these sustainable  demands of the stakeholders will be left behind.”, she added.

Remus Danila has been involved in the capital markets field for 15 years, both in the brokerage business and in the stock exchange environment.

Between 2005 – 2016, he worked for the Belgian group KBC Securities in Romania, Belgium and Hungary, covering institutional clients active in the CEE region. Afterwards, he joined Budapest Stock Exchange as director for international relations.

Șerban Semeniuc is part of the top management team of Regina Maria. A graduate of the Faculty of Law, University of Bucharest, and a member of the Bucharest Bar Association, Șerban joined Regina Maria in 2010, taking up the position of Legal Director. He currently coordinates the Legal Department and the Corporate Affairs team.

Șerban also graduated from Maastricht University, obtaining his DPO certification in 2018.

Marcel Cobuz, Chairman of the TITAN CEMENT Group Executive Committee, is one of the speakers at THE SUSTAINABILITY CHALLENGE 2022 on 25 October. He will bring his strategic view on how decarbonization is impacting the infrastructure and construction materials industry and its players.

Marcel is a senior executive with extensive international industrial CEO experience. He has more than 20 years of experience in high level leadership, innovation and transformation roles.

Marcel Cobuz has started his career in Romania and Eastern Europe in investment banking and as an entrepreneur and then he moved to the construction materials industry holding leadership roles across Europe, Asia, Middle East and Northern Africa. In these roles, he dealt with a variety of business situations: turnarounds, large capacity expansions, user-centric transformations, M&A and integrations. At TITAN CEMENT Group, an international cement and building materials producer serving customers in more than 25 countries, Marcel is leading priorities on growth, decarbonization and digitalization. Prior to TITAN CEMENT, Marcel was the CEO of the European arm of Holcim.

Marcel is passionate about ESG topics with experience gained in leading teams towards transitioning industrial assets to renewables, maximizing use of alternative fuels and bringing to market more circular solutions in construction. He was involved in numerous thought leadership initiatives in trade associations in Europe and globally. He participated in COP 22 and COP 26 events and was interviewed by Bloomberg, Financial Times and Politico on current ESG topics and trends. He served on Boards of different businesses as well as on the Boards of not-for-profit education organizations in Zurich and Casablanca. He is also coaching start-up entrepreneurs in the field of green tech.

Florin Ilie took over the role of Deputy CEO and Head of Wholesale Banking of ING Bank Romania in November 2019, after 15 years in the bank.

From 2017 until 2019, Florin coordinated the Financial Markets corporate sales for 9 countries in Central and Eastern Europe, steering increased cross-border cooperation and efficiency, as well as a sector-aligned, proactive sales model. In parallel, Florin continued to manage the local Financial Markets Sales team, ING being one of the top players in the local financial market.

He joined ING in 2004 and had several assignments spanning Wholesale, Business and Retail Banking. Florin started out as Business Manager for country management, evaluating potential banking acquisition targets and developing the business plan for the Retail Banking greenfield. Next, he managed the Finance function for Retail, overseeing the outlays for the network expansion and building the MIS. Florin then moved on to manage Equity Markets sales, trading and research, leading it to top position on the market. In 2012, Florin Ilie was ranked in the top three financial analysts in Central and Eastern Europe by Thompson-Reuters.

In the financial-banking field, Florin previously worked as brokerage director, financial director and strategy director; he also worked in consulting and diplomacy.

Florin holds a master’s degree in finance from Harvard University, a master’s degree in economics and social sciences from Manchester University and a doctorate in economics from the Academy of Economic Studies. Medlife a semnat achizitia a 51% din actiunile grupului ProVita cu o cifra de afaceri anuala de peste 15 mil. euro

Compania de servicii medicale private Medlife a anuntat pe 5 octombrie 2022 ca a semnat achizitia unui pachet de 51% din actiunile grupului ProVita, afacere fondata de medicul Ovidiu Nicolae Palea.

Grupul ProVita a raportat o cifra de afaceri de 74 mil. RON (peste 15 mil. euro) pentru 2021, ceea ce indica achizitia unui jucator de calibru semnificativ de catre Medlife, angajat intr-o cursa de consolidare a pietei locale de servicii medicale private. Grupul ProVita are in portofoliul sau un spital multidisciplinar, 3 policlinici, 2 laboratoare, 2 centre de imagistica, un centru de instruire in terapia durerii si singurul din Europa Centrala si de Est, potrivit informatiilor transmise de Medlife.

Tranzactia marcheaza consolidarea serviciilor de diagnostic si tratament la nivel national, sustin reprezentantii Medlife.

Ca urmare a finalizarii acestei tranzactii, echipa existenta de management precum si fondatorii isi vor pastra atributiile si, la fel ca si in cazul celorlalte achizitii anuntate de MedLife, vor fi in continuare responsabili de dezvoltarea si extinderea operatiunilor medicale Provita ca parte din strategia grupului MedLife, a anuntat cumparatorul.

“Nevoile pacientilor si modul in care raspundem acestora – printr-o abordare multidisciplinara si empatica a actului medical, stau la baza activitatii Grupului Provita. Ne bucuram sa gasim in MedLife un partener strategic care se aliniaza acestei viziuni si alaturi de care vom continua sa ne urmarim obiectivul principal de a construi in urmatorii ani o retea de centre cu servicii medicale complexe, pentru un numar cat mai mare de pacienti atat din Bucuresti, cat si din celelalte mari orase din tara”, a declarat dr. Ovidiu Nicolae Palea, fondatorul Provita.

Grupul Provita urmeaza sa isi extinda operatiunile din Bucuresti prin lansarea unui nou spital medical privat, planificat pentru primavara anului 2023. Noul spital, aflat in faza finala de executie va avea o suprafata de aproximativ 25 000 mp, 8 sali de operatii, 110 paturi, un centru de imagistica de ultima generatie si un centru oncologic integrat de diagnostic, tratament si recuperare, permitand astfel pacientilor, atat adulti cat si copii, acces facil la serviciile medicale de excelenta.

“Parteneriatul cu Grupul Provita reprezinta inca o etapa de dezvoltare, parte din strategia de business, pe care ne-am asumat-o si am adus-o in atentia actionarilor nostri inca de la inceputul acestui an – consolidarea serviciilor de diagnostic si tratament pentru a veni in intampinarea pacientilor nostri in cat mai multe centre medicale in toata tara. Este cea de-a 13-ea tranzactie anuntata anul acesta, o premiera pe piata de servicii medicale private din Romania, si avem incredere ca toate aceste noi parteneriate vor ajuta nu doar la consolidarea pietei, dar vor fi un avantaj major pentru a creste accesul la servicii medicale de calitate la nivel national”  a declarat Mihai Marcu, Presedinte & CEO MedLife Group.

Medlife a fost asistata in tranzactia cu ProVita de catre firma de audit Mazars si de catre firma de avocatura Mitel & Asociatii.

De cealalta parte, vanzatorul a lucrat in acest dosar cu casa de avocatura Popovici Nitu, Stoica & Asociatii, reprezentata de catre partenerul Silviu Stoica, si cu boutique-ul de servicii de consultanta Wise Way Advisors al lui Alexandru Medelean, ex – PwC.

Pe piata serviciilor medicale private, cele mai mari doua retele private – Regina Maria, aflata in portofoliul managerului de capital privat MidEuropa – si Medlife, o afacere antreprenoriala fondata de familia Marcu si listata pe bursa de la Bucuresti duc de mai multi ani campanii de achizitii de operatori de profil de talie locala sau regionala in cursa lor pentru consolidarea pietei.

Medlife are pe bursa o capitalizare bursiera de circa 2,39 mld. RON (484 mil. euro).

Managerul regional de private equity Integral Venture Partnes intra pe piata din Romania prin preluarea a 36% din afacerea Medima Health. Andrei Gemeneanu de la Morphosis Capital, vanzator in tranzactie: Pentru noi, afacerea Medima inseamna un IRR de circa 30%

Managerul regional de capital privat Integral Venture Partners a anuntat pe 4 octombrie 2022 prima sa investitie pe piata din Romania in lantul de clinici de radiologie si imagistica Medima Health, aflat in portofoliul fondului de investitii Morphosis Capital.

“Printr-o combinatie de majorare de capital si un secondary share purchase (achizitie de actiuni de la un alt fond de investitii – n.r.), ne alaturam unei baze de investitori reputati, inclusiv Morphosis, la care se adauga Dl. Vlad Ardeleanu si Profesorul Dr. Gheorghe Iana, cu scopul de a conduce compania catre urmatoarea faza de crestere. Intram intr-o etapa interesanta a evolutiei Medima si suntem incantati sa sprijinim echipa de management existenta in extinderea afacerii si consolidarea pozitiei sale de lider pe pietele respective. Cu sprijinul nostru, Medima isi va continua extinderea retelei in Romania, in timp ce executa o serie de alte proiecte strategice, inclusiv lansarea unei linii de ciclotron și anumite initiative operationale”, a declarat Evtim Chesnovski, Partner at Integral.

Tranzactia inseamna un exit partial al fondului de investitii Morphosis Capital Fund I Cooperatief UA, care a fost lansat in 2018 cu un capital de 50 mil. euro exclusiv pentru investitii pe piata din Romania.

“Ramanem in continuare principalul actionar al Medima cu un pachet de peste 48% din actiuni, iar partenerul nostru Integral va prelua un pachet de 36%, impreuna cu care vom avea un joint shared governance. De asemenea, Vlad Ardeleanu si profesorul Gheorghe Iana raman cu un pachet de circa 16% dupa aceasta tranzactie“, a declarat pentru jurnalul de tranzactii MIRSANU.RO Andrei Gemeneanu, Managing Partner Morphosis Capital.

Structura tranzactiei indica faptul ca fondul de investitii Evolving Europe Principal Investments I (EEPI I), administrat de catre Integral Venture Partners, a cumparat o parte din pachetul de actiuni al Morphosis Capital, care detinea anterior 76% din afacerea Medima Health, si a investit in majorarea capitalului companiei pentru a finanta planurile de crestere ale Medima Health. La majorarea de capital, au participat pro-rata si actionarii mai mici, Vlad Ardeleanu si profesorul Gheorghe Iana, pentru a nu-si vedea diluate participatiile, conform informatiilor disponibile pentru jurnalul de tranzactii MIRSANU.RO.

“Acum a fost semnata tranzactia, ne asteptam ca intr-o luna sau doua sa fie finalizata”, a precizat Andrei Gemeneanu.

In urma tranzactiei, Morphosis Capital isi va reduce participatia de la 76% la 48% si va avea un orizont comun de exit cu celalalt investitor de private equity, Integral Venture Partners, ceea ce inseamna ca isi vor coordona pasii in vederea maximizarii investitiei de capital.

Casa de avocatura RTPR a asistat fondul de investitii administrat de catre Integral Venture Partners la tranzactia de achizitie a pachetului de actiuni in Medima Health, in timp ce avocatii casei austriece de avocatura Schoenherr au lucrat in acest dosar de partea vanzatotului, Morphosis Capital.

“Avem un IRR (internal rate of return – randament al investiei) de circa 30% in cazul Medima Health”, a punctat pentru jurnalul de tranzactii MIRSANU.RO Andrei Gemeneanu, seful Morphosis Capital.

Medima Health activeaza pe o piata locala a serviciilor de radiologie si imagistica in plina dezvoltare, unde concureaza cu lantul de clinici Hiperdia (parte a grupului Affidea aflat in portofoliul miliardarului elvetian de origine italiana Ernesto Bertarelli), dar si cu marile retele private de servicii medicale – Regina Maria, afacere aflata in portofoliul managerului regional de capital privat MidEuropa, respectiv MedLife, o afacere antreprenoriala listata pe bursa si controlata de familia Marcu.

Piata serviciilor medicale private si nise ale acesteia sunt unul dintre teritoriile favorite de investitii pentru managerii de capital privat pentru ca ofera un mare potential de crestere, iar rata de crestere anuala a unui campion de piata este de doua cifre, ceea ce asigura acea crestere rapida de masa critica de care au nevoie investitorii financiari pentru multiplicarea banilor investiti intr-un orizont de exit pe termen mediu.

Morphosis Capital se apropie de finalizarea ciclului de investitii din primul sau fond, anuntand recent ca mai are bani pentru o investitie noua sau pentru un follow – on care i-ar permite sa adauge o noua achizitie pe platformele operate deja de cele 6 companii din portofoliul sau. “Ne asteptam sa facem aceasta investitie catre finele anului acesta – inceputul anului viitor“, a explicat Gemeneanu de la Morphosis Capital.

Morphosis Capital urmareste tichete de investitii in marja a 5 – 10 mil. euro per tranzactie si se pregateste sa ridice al doilea fond de investitii pana in trimestrul al patrulea din 2023.

Primul fond al Morphosis Capital a fost ridicat cu bani de la Fondul European de Investitii (EIF), Banca Transilvania, antreprenori locali si internationali, precum si de catre echipa de fondatori, care au investit in propriul fond.

De cealalta parte, Integral Venture Partners este, de asemenea, un tanar manager de capital privat, care activeaza pe pietele din Europa Centrala si de Sud-Est cu primul sau fond de investitii, in care au investit Fondul European de Investitii, Banca Europeana pentru Reconstructie si Dezvoltare (BERD) si International Finance Corporation (IFC).

Evolving Europe Principal Investments I (EEPI I) este un fond de private equity cu o capitalizare de circa 150 mil. Euro. Fondul de investitii EEPI I abordeaza tichete de investitii de pana la 25 mil. euro per tranzactie si chiar investitii de capital mai mari alaturi de co-investitori. Este un fond de investitii care se concentreaza pe achizitii de pachete de actiuni in companii din TMT (tehnologie-media-telecomunicatii), servicii medicale, servicii si bunuri de larg consum, servicii B2B si nise industriale.

Echipa managerului regional de capital privat Integral Venture Partners este condusa de investitori cu experienta, care au lucrat anterior in birouri din regiune ale MidEuropa.
